Information only. Not a recommendation or an offer to invest. Private placements can result in total loss. Tax eligibility requires independent review.

A research resource for your own due diligence.

My Alts Data brings marketplace research, sponsor information, and available offering materials into a more organized review workflow. First Oregon® supports the technology behind that process so investors and their professional advisers can examine information, identify questions, and make their own decisions.

Considering a 1031 or 1033 strategy?

Use the research as a starting point for discussing the particular property, ownership structure, sponsor, timing, and risks with your own professionals. A private placement exemption and a tax-deferral strategy address different requirements; one does not establish the other. Do not assume every marketplace listing qualifies for an exchange or replacement-property treatment.

Reporting remains part of the platform.

The Private Markets Portal also helps organize investment records, documents, sponsor updates, and reporting information. Research supports the decision process; reporting helps keep information organized over time.

Important marketplace disclosures

Research information—not an investment recommendation

Marketplace information is provided for research, education, and informational purposes. A listing, research review, or inclusion on the platform is not a recommendation, endorsement, suitability determination, or instruction to purchase, hold, or sell an investment. This page is not an offer to sell or a solicitation to buy any security. Any actual offering must be made through the applicable issuer’s offering documents and authorized parties, subject to applicable securities laws.

Understand the limits of “vetted” research

“Vetted” or “research-reviewed” describes review of available information within the scope identified for a listing. It does not mean that every statement has been independently verified, that an investment has been audited, or that any regulator has approved it. Review the sources, review date, scope, limitations, and any disclosed relationships or compensation; request missing information. Research may contain errors, omissions, or outdated information and does not eliminate investment risk.

Accredited investors and Rule 506(c)

Rule 506(c) permits general solicitation when its conditions are satisfied, including that all purchasers are accredited investors and the issuer takes reasonable steps to verify that status. Registration on a website or viewing research does not establish eligibility to invest. Securities offered under Regulation D are generally unregistered and restricted; an exemption or Form D filing is not SEC approval.

Private placement risks

Private placements are speculative and may result in loss of the entire investment. Risks can include illiquidity and indefinite holding periods; restrictions on transfer and redemption; limited or unaudited information; uncertain valuations; sponsor, manager, and counterparty risks; conflicts of interest; substantial fees and expenses; leverage and refinancing risks; and concentration in particular properties, industries, tenants, or markets. Distributions are not guaranteed and may include return of capital. Past performance, estimates, and projections do not assure future results. Review each offering’s specific risks.

1031 and 1033 treatment is transaction-specific

Not every real estate investment, DST, fund, REIT, or security qualifies for a Section 1031 exchange or Section 1033 replacement-property strategy. Rule 506(c) status does not establish tax eligibility. Section 1031 generally applies to qualifying real property held for investment or business use and has specific exchange requirements and deadlines. Section 1033 concerns qualifying involuntary conversions and has separate replacement-property, timing, and election rules. A strategy may defer tax rather than eliminate it. Obtain independent advice from your tax and legal professionals and, where appropriate, a qualified intermediary before committing funds or identifying replacement property.

Perform your own due diligence

Obtain and read the complete private placement memorandum or other offering memorandum, subscription agreement, governing documents, financial statements, tax materials, and all amendments. Evaluate the sponsor’s background, use of proceeds, debt, fees, conflicts, cash-flow assumptions, liquidity, exit strategy, and the possibility of total loss. Ask questions and seek satisfactory answers. Make an independent decision with your financial, tax, and legal advisers; do not rely solely on a platform summary or research review.
